Alert – The SBA’s Paycheck Protection Program

On April 2, 2020, the Small Business Administration ("SBA") issued its interim final rule (the "Interim Final Rule") regarding the implementation of the Paycheck Protection Program ("PPP"), which was authorized pursuant to the Coronavirus Aid, Relief, and Economic Security Act ("CARES Act") recently signed into law.

Under the PPP, SBA and other qualifying lenders can originate up to $349 billion in loans to eligible businesses that would be fully guaranteed as to principal and interest by the SBA, have more favorable terms than traditional SBA loans and may be forgiven if the loan proceeds are used by the borrower for certain purposes.

On March 27, 2020, the President signed the Coronavirus Aid, Relief, and Economic Security Act (“CARES Act”) into law. It provides over $2 trillion to combat the coronavirus (COVID-19) and stimulate the economy. Alert – SEC Filing Relief and Disclosure Guidance

March 27, 2020

In light of the impact of the coronavirus (COVID-19) pandemic on public reporting companies, on March 25, 2020, the Securities and Exchange Commission issued an order allowing public companies, subject to certain conditions, a 45-day extension to file certain periodic reports that would otherwise have been due between March 1 and July 1, 2020. On the same date, the SEC’s Division of Corporation Finance issued guidance regarding its views on disclosure and other securities law obligations that companies should consider with respect to the impact of COVID-19.
