Norma Sharara and Jeff Cardone spoke on “Risk Management Compensation Issues for Board Members” at the Pennsylvania Association of Community Bankers Directors Conference at the Nittany Lion Inn, State College, PA on June 5 and 6, 2012.  Their presentation focused on board oversight of incentive compensation, FDIC golden parachute rules for banks that are (or may become) in “troubled condition,” and forthcoming Dodd-Frank guidance on executive compensation.  The session also addressed a wide variety of employment risk-management topics that board members should keep in mind when implementing strategic plans that call for scaling back budgets and headcount.
