On July 27, 2017, First Citizens Community Bank, Mansfield, Pennsylvania (“First Citizens”), the wholly-owned subsidiary of Citizens Financial Services, Inc. (“Citizens”), entered into an agreement pursuant to which it will acquire the State College, Pennsylvania branch of S&T Bank, Indiana, Pennsylvania, the wholly-owned subsidiary of S&T Bancorp, Inc. (“S&T Bancorp”).

Luse Gorman served as legal counsel to First Citizens in the transaction.  The Luse Gorman team was led by Victor Cangelosi (Corporate/M&A) and Thomas Hutton (Executive Compensation), and included Zachary Davis (Corporate/M&A).

Citizens has approximately $1.26 billion in total assets.  First Citizens currently operates 26 branch offices located in Pennsylvania and New York.

S&T Bancorp has approximately $7.09 billion in total assets.  S&T Bank currently operates 62 branch offices located in Pennsylvania and Ohio.
