Scott A. Brown and Lawrence M. F. Spaccasi presented “Advice and Counsel for Potential Sellers” at the 2023 BankDirector Acquire or Be Acquired Conference in Phoenix, Arizona. The session focused on the current regulatory climate with regard to M&A with an emphasis on changing regulatory standards for approval of transactions, hot button issues and potential regulatory threats to the successful and timely completion of a transaction. The session also discussed the growing trend of non-traditional buyers (such as credit unions and investor groups) and the unique regulatory and diligence issues they raised and provided examples of merger agreement provisions that can (and should) be considered when engaging with these non-traditional purchasers to better protect the seller.

Zac Davis presented “LIBOR/SOFR Transition and the Impact of the Adjustable Interest Rate (LIBOR) Act” at Western Bankers’ 2022 Lenders & Chief Credit Officers Conference in Dana Point, California. The presentation focused on the provisions of the Adjustable Interest Rate (LIBOR) Act and related regulations proposed by the Federal Reserve, including the different SOFR-based benchmarks proposed by the Federal Reserve, the types of contracts and in what circumstances each fallback benchmark will be applicable, how the fallback benchmarks differ from the LIBOR benchmarks they are replacing and what options banks may have to chart their own path in the transition.

Lawrence M.F. Spaccasi conducted a presentation on the subject of the covered savings association election (“CSA Election”) at the 2022 ABA Annual Convention in Austin, Texas on October 4, 2022. He spoke about the issues and procedures involved with the CSA Election, which allows federal savings associations that are OCC regulated to be regulated as if they are a national bank without having to change or amend their existing charters. The presentation also addressed the effects the CSA Election will have on the association’s holding company.
