Ned Quint is actively involved in representing financial institutions and their holding companies in a wide range of securities, corporate and regulatory matters. Mr. Quint specializes in stock offerings, mergers and acquisitions, and corporate and securities law, stockholder relations and mutual-to-stock conversions.  He represents publicly traded banks and their holding companies on securities law and SEC matters, including stockholder disclosures, defensive strategies and dealing with activist stockholders.

Representative Transactions:

  • Represented Provident Bancorp, Inc. and The Provident Bank, Amesbury, Massachusetts, in their mutual holding company minority stock offering, which was the first minority stock offering completed in the United States since 2011.

  • Represented Meridian Bancorp, Inc. and East Boston Savings Bank, Peabody, Massachusetts, in their conversion from a mutual holding company to stock holding company and related $325.0 million common stock offering.

  • Represented Northwest Bancshares, Inc. and Northwest Bank, Warren, Pennsylvania, in their acquisition of LNB Bancorp, Inc. and The Lorain National Bank.

  • Represented Northfield Bancorp, Inc. and Northfield Bank, Woodbridge, New Jersey, in their conversion from a mutual holding company to stock holding company and related $355.6 million common stock offering.

  • Represented Waterstone Financial, Inc. and WaterStone Bank SSB, Wauwatosa, Wisconsin, in their conversion from a mutual holding company to stock holding company and related $253.0 million common stock offering.

  • Represented Alamogordo Financial Corp. and Bank’34, Alamogordo, New Mexico, in their acquisition of Bank 1440 in a stock and cash issuance by a subsidiary of a mutual holding company.
