Ben Azoff represents financial institutions and holding companies in a wide range of matters, including securities offerings, SEC representation, mutual holding companies, mutual-to-stock conversions, mergers and acquisitions, corporate and securities law, and general bank regulatory matters.

Representative Transactions:

  • Represented OmniAmerican Bancorp, Inc., Ft. Worth, Texas, in its $119.0 million initial public offering. OmniAmerican was formerly a federal credit union.

  • Represented Jacksonville Bancorp, MHC, Jacksonville, Illinois, in its $10.4 million stock conversion and public offering.

  • Represented First Niagara Financial Group, Inc., Buffalo, New York, in its $302.0 million stock acquisition of Harleysville National Bank and Trust Company. Represented First Niagara Bank in its purchase and assumption of 57 National City Bank branches from PNC National Corporation.   

  • Represented Kaiser Federal Bank in its mutual holding company reorganization and $57.0 million initial public offering. Kaiser Federal was previously a federal credit union.

  • Represented Keefe Bruyette & Woods as underwriter’s counsel in an $83.5 million initial public offering by a Connecticut mutual holding company.
